Please review the following Non-Disclosure Agreement (NDA) to receive the SPMT Abridged Specification solely for informational purposes. There are two ways to receive the Abridged Specification:

1) Review the NDA below, click “agree” and submit the form.

2) Click “print” and submit the form. Sign and fax the NDA back to SPMT (fax number: +1-408-830-9536).

Upon acceptance of the NDA, the Abridged Specification will be e-mailed in one business day.

THIS NON-DISCLOSURE AGREEMENT (“NDA”) IS A LEGALLY BINDING AGREEMENT BETWEEN YOU ON BEHALF OF YOURSELF AND, IF YOU ARE USING THE SPECIFICATION IN A PROFESSIONAL CAPACITY, YOUR EMPLOYER (COLLECTIVELY “RECIPIENT” OR “YOU”) AND SPMT, LLC. (“DISCLOSER”) BY CLICKING ON THE “I AGREE” BUTTON, YOU ARE INDICATING THAT YOU HAVE READ THIS AGREEMENT, THAT YOU UNDERSTAND IT, AND THAT YOU CONSENT TO BE BOUND BY THE TERMS AND CONDITIONS AS OF THE DATE AND TIME THAT YOU CLICK THE “I AGREE” BUTTON.

IF APPLICABLE AS SET FORTH ABOVE, YOU REPRESENT AND WARRANT THAT YOU ARE AUTHORIZED TO ACCEPT THIS NDA ON YOUR EMPLOYER’S BEHALF.

To protect certain Confidential Information (as defined below), Discloser and Recipient, individually referred to as a “party” and collectively referred to as the “parties” enter into this Non-Disclosure Agreement (“NDA”) and agree as follows: 
 		
1. “Confidential Information” shall mean the SPMT Abridged Specification.

2. The party receiving Confidential Information under this NDA (“Recipient”) shall use the Confidential Information only for the following purpose (“Business Purpose”): SOLELY TO EVALUATE THE CONFIDENTIAL INFORMATION TO DETERMINE WHETHER TO BECOME AN ADOPTER OF SPMT CONSORTIUM.

3. Recipient shall not disclose Confidential Information received from the Discloser under this NDA to any third party. The Recipient shall use the same degree of care in maintaining the confidentiality of the Confidential Information as it uses with respect to its own information that is regarded confidential and/or proprietary by such party, but in any case shall at least use reasonable care.  Recipient agrees that it will restrict access to all Confidential Information received from the Discloser to only those of its employees, consultants and contractors within the receiving parties organization and legal, financial and/or other advisors, who need to be informed of the Confidential Information to carry out the Business Purpose for which the Confidential Information is disclosed, provided that, such persons will be bound to the Recipient by a written confidentiality agreement that contains substantially the same obligations as contained in this NDA. Recipient shall not use Discloser’s Confidential Information, in whole or part, in any manner that is competitive with the Discloser.

4. Except as expressly set forth in this NDA, no right, license or authorization, express or implied, is granted hereunder with respect to the Confidential Information disclosed under this NDA.  In addition, the Confidential Information is provided “as is” and neither party makes any representation or gives any warranty with respect to the Confidential Information that it discloses hereunder.  The Discloser (or its licensors) shall retain all right, title, and interest in the Confidential Information that it discloses hereunder. The Recipient acknowledges that, all Confidential Information is owned solely by the Discloser (or its licensors) and there is no grant of any intellectual property rights in the Confidential Information, which is disclosed.  Furthermore, this NDA imposes no obligation on either party to disclose Confidential Information or to purchase, sell, license, transfer or otherwise make use of any technology, services or products.

5. Recipient shall not be liable for any disclosure of Confidential Information that it receives hereunder where: (i) the same information was in the public domain at the time it was disclosed or later comes within the public domain, except through the acts or omissions of the Recipient; (ii) the same information was rightfully known to the Recipient prior to or at the time of its disclosure; (iii) the same information is approved for release by written authorization of the Discloser; (iv) the same information becomes known to the Recipient from a source other than the Discloser without breach of an obligation of confidentiality; and/or (v) the same information is independently developed by employees or representatives of the Recipient without access to the Confidential Information. A party may disclose Confidential Information pursuant to the order or requirement of a court, administrative agency, or other governmental body, provided, however, reasonable notice is given to the Discloser prior to disclosure under such order or requirement in order to allow the Discloser to take steps to protect the confidentiality of such information.

6. The Recipient shall not reproduce or copy the Confidential Information except as reasonably required to accomplish the Business Purpose.  Upon the earlier of the termination of this NDA or written request by the Discloser, the Recipient shall cease using all Confidential Information of the Discloser, all items containing such Confidential Information shall be returned to the Discloser, and all such Confidential Information shall be deleted from the Recipient’s computer systems.  Upon written request by the Discloser, Recipient shall provide a certification signed by an officer or duly authorized representative of the Recipient stating that all such Confidential Information has been returned to the Discloser and that all such Confidential Information has been deleted from the Recipient’s computer systems.

7. The NDA shall remain in effect until terminated.  Either party shall have the right to terminate this NDA upon thirty (30) days advance written notice.  Notwithstanding the preceding sentence, the duty of confidentiality set forth herein with respect to an item of Confidential Information disclosed under this NDA shall remain in effect in perpetuity.

8. The Recipient acknowledges that software programs and/or pre-release hardware devices contain valuable confidential information and agrees that it will not modify, reverse engineer, decompile, create other works from, or disassemble any software programs and/or pre-release hardware devices contained in the Confidential Information unless otherwise permitted in writing.

9. The Confidential Information disclosed may be subject to U.S. export control laws and regulations, and may be subject to export or import regulations in other countries.  Recipient agrees that it will not export, re-export or transfer the Confidential Information, or any products developed with or utilizing the Confidential Information, in violation of any applicable laws or regulations of the United States or the country where the Confidential Information was obtained.  Recipient is responsible for obtaining any licenses required to export, re-export, transfer or import the Confidential Information.   In addition to the above, the Confidential Information may not, in the absence of authorization by U.S. and local law and regulations, as required, be used by or exported or re-exported to (i) any U.S. sanctioned or embargoed country, or to nationals or residents of such countries; or (ii) any person, entity, organization or other party identified on the U.S. Department of Commerce's Denied Persons or Entity List, the U.S. Department of Treasury's Specially Designated Nationals or Blocked Persons List, or the Department of State's Debarred Parties List, as published and revised from time to time; (iii) any party engaged in nuclear, chemical/biological weapons or missile proliferation activities, or (iv) any party for use in the design, development, or production of rocket systems or unmanned air vehicles.

10. The parties agree that this NDA and all disputes arising hereunder shall be governed by the laws of the State of California, excluding its conflicts of laws provisions.  The venue for any dispute arising out of this NDA shall be the U.S. District Court, Northern District of California.  Notwithstanding the preceding sentence, nothing in this NDA shall restrict or limit either party seeking injunctive or similar relief in any jurisdiction to protect its Confidential Information.  In addition, it is acknowledged and agreed that a breach of the obligations of this NDA is likely to cause irreparable harm to the disclosing party and that money damages alone would be inadequate as a remedy for a breach of such obligations.

11. This NDA constitutes the entire understanding between the parties as to the subject matter hereof.  No amendment or modification of this NDA shall be valid or binding on the parties unless made in writing and signed on behalf of each of the parties by their respective duly authorized representatives.  Any notice under this NDA shall be sent in writing by a nationally recognized overnight courier and shall be effective upon delivery to the recipient.
